Terms and Conditions
1. Introduction
These Terms and Conditions (hereinafter referred to as "Agreement") govern the relationship between Uroko Kelechukwu (hereinafter referred to as the "Developer") and the public for the provision of freelance software development services (hereinafter referred to as the "Services"). By engaging the Developer's Services, the Client agrees to the terms outlined in this Agreement.
2. Scope of Work
- The Client agrees to provide a detailed project scope, including specifications, objectives, and deliverables, before the commencement of the project.
- The Developer will perform the Services outlined in the project scope and adhere to any agreed-upon milestones and deadlines.
3. Payment
- Payment terms and rates will be mutually agreed upon and specified in a separate document or invoice.
- Invoices shall be submitted by the Developer, and payment shall be made by the Client according to the agreed-upon schedule.
4. Intellectual Property Rights
- The Client shall retain all intellectual property rights to any software or content created during the project.
- The Developer may retain the right to showcase the project in their portfolio unless otherwise agreed upon in writing.
5. Confidentiality
- Both parties agree to maintain strict confidentiality regarding all project-related information and not to disclose it to third parties without prior written consent.
6. Revisions and Change Orders
- Any changes to the project scope or additional work requested by the Client will be subject to additional charges and must be agreed upon in writing.
7. Termination
- Either party may terminate the agreement with written notice, but the Client will be responsible for payment of any work completed up to that point.
8. Liability and Indemnification
- The Developer shall not be liable for any consequential, incidental, or indirect damages arising from the use or inability to use the software.
- The Client shall indemnify and hold the Developer harmless from any claims or losses related to the Services provided.
9. Dispute Resolution
- Any disputes arising under this Agreement shall be resolved through arbitration in accordance with the law of Federal Republic of Nigeria or through negotiation and mediation, with the prevailing party being entitled to recover its reasonable attorney's fees.
10. Governing Law
- This Agreement shall be governed by and construed in accordance with the laws of Federal Republic of Nigeria.
11. Entire Agreement
- This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, written or oral.
12. Amendments
- The developer reserves the right to update this document without public consultation, and it shall be binding to all customers, though newer modification do not invalidate existing contract but will be applicable to all completed projects.
13. Severability
- If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
By entering into this Agreement, both parties acknowledge that they have read, understood, and agree to its terms and conditions.
